1. Acceptance of Terms
These Terms of Service (“Terms”) govern your use of firmillion.com (the “Site”) and any website, funnel, or Client Engine services provided by Firmillion (“we,” “us”). By using the Site, booking a call, or engaging us for services, you agree to these Terms. If you do not agree, please do not use the Site or our services.
Where you engage us for services, these Terms work alongside any signed proposal, statement of work, or service agreement between you and Firmillion (a “Service Agreement”). If there’s a conflict, the Service Agreement controls.
2. Services
We build websites and funnels for accounting and bookkeeping firms, and run the Client Engine (referral automation, follow-up, and reporting). Our current offers are: the Startup Plan Call and Practice Launch, for new practices; the Free Funnel Audit, High-Converting Funnel, and Custom Funnel Build, for established firms; the Client Engine (Autopilot or Client Engine Managed); the Tax-Season Campaign; and Growth Add-ons delivered through partners. The specific scope, timeline, and deliverables for your engagement are set out on the relevant offer page and in your proposal or Service Agreement.
3. Client Responsibilities
To deliver our services effectively, we rely on you to:
- Provide timely access to accounts, assets, and information we reasonably need (domain, website access, brand assets, approvals, etc.).
- Provide accurate information about your firm, your offers, and your pricing, and to ensure any claims we’re asked to publish are truthful and compliant with the rules of your professional body.
- Review and approve your plan, build, and messages within the timeframes we request — nothing goes live without your sign-off.
- Maintain your own professional licensing, regulatory compliance, and any rules that apply to referral rewards in your jurisdiction.
Delays in providing access, information, or approvals may delay delivery. For paid builds, the clock on the stated timeline (about 7, 10, or 14 days) stops while we wait for your content and access.
4. Fees & Payment
Fees for our services are listed on the Site: Practice Launch ($997), High-Converting Funnel ($1,497), Custom Funnel Build ($2,997), Client Engine Autopilot ($297/mo), Client Engine Managed ($497/mo), and the Tax-Season Campaign ($750). All prices are starting points and may be confirmed or adjusted in your proposal. Growth Add-ons are priced per the range shown on that page, plus ad spend where applicable. Ad spend for Google or Meta Ads is paid by you directly to the ad platform — we never hold your ad budget.
Fees, deposits, and due dates are set out in your proposal or invoice. We accept payment by credit card or bank transfer through our payment processor. If an invoice is overdue, we may pause work and any ongoing services until it is paid. The Client Engine Managed notice period is described in the Cancellation section below.
5. Refunds & Cancellation
Digital products priced at $197 or less (the DIY Launch Kit, the Tax-Season Campaign Pack and Funnel in a Day): a 30-day money-back guarantee applies. Email us within 30 days of purchase for a full refund. For anything priced above $197, including Practice Launch, Firm Growth Build and the Client Engine plans, the following applies. A full refund is available if work on your build has not yet started. Once work has begun, fees paid are non-refundable, except where we have not delivered services in accordance with your Service Agreement.
Client Engine Autopilot is month to month. Client Engine Managed starts with a 3-month term, then runs month to month with 30 days’ written notice to cancel. Cancellation does not entitle you to a refund of fees already earned for work performed.
6. Text Messaging
If your engagement includes text messaging (such as missed-call text-back or appointment reminders through the Client Engine), messages are sent only to people who have opted in, consent wording appears on the relevant form, and every text includes a way to opt out. See our Privacy Policy for details.
7. Intellectual Property & Ownership
Upon full payment, you own the final website, creative assets, and content we deliver as part of your build, except for any third-party or licensed material (such as stock photography, fonts, plugins, or software) identified as separately licensed. We retain ownership of our internal processes, tools, and any pre-existing materials we bring to the engagement.
Everything we set up lives in your own account, and you own and control it, including your domain, website, forms, automations and contact list. We keep ownership of our own templates, scripts and methods. Our access to your account ends when our work ends, and you can remove it at any time.
We may reference your business name and the results of our work in our portfolio, case studies, and marketing materials, unless you notify us in writing that you’d prefer we not do so.
8. Third-Party Platforms
Our services involve platforms we do not own or control — including WhatsApp, Google Business Profile, and the CRM/automation platform used to run the Client Engine, as well as Google and Meta for any ads. Your use of those platforms is governed by their own terms of service. We are not responsible for outages, policy changes, or account issues initiated by those platforms, though we will work in good faith to resolve issues that arise.
9. No Guarantee of Results
We do not guarantee leads, rankings, or revenue. In the first 90 days of a Client Engine engagement we agree on a scoreboard (referral requests sent, calls booked, clients signed) and report against it monthly, in dollars — this is a report, not a promise. Any dollar example we share (such as in a free audit) is an illustration based on your own numbers, not a guarantee of similar outcomes.
10. Not Accounting Advice
Firmillion is a marketing company. We do not provide accounting, tax, or assurance services, and nothing on this Site or in our services constitutes accounting, tax, or legal advice. We do not need, and do not request, access to your accounting software or client financial files.
11. Limitation of Liability
To the fullest extent permitted by law, Firmillion and its owners, employees, and contractors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenue, arising out of or related to our services or the Site. Our total liability for any claim arising from our services is limited to the amount you paid us for the specific service giving rise to the claim in the [three (3)] months preceding the claim.
12. Indemnification
You agree to indemnify and hold Firmillion harmless from any claims, damages, or expenses (including reasonable attorneys’ fees) arising from: (a) content, claims, or offers you ask us to publish that violate the law or your professional body’s rules; (b) your breach of these Terms or a Service Agreement; or (c) your violation of any third-party platform’s terms of service.
13. Termination
We may suspend or terminate services if fees are not paid when due or if you materially breach these Terms or your Service Agreement. Sections of these Terms that by their nature should survive termination (such as intellectual property, limitation of liability, and indemnification) will continue to apply.
14. Governing Law
These Terms are governed by the laws of Ontario and the federal laws of Canada applicable there, without regard to its conflict-of-laws principles. Any dispute arising from these Terms or our services will be resolved in the courts located in Ottawa, Ontario, unless your Service Agreement specifies a different dispute-resolution process.
15. Changes to These Terms
We may update these Terms from time to time. Material changes will be reflected by an updated “Last updated” date at the top of this page. Continued use of the Site or our services after changes are posted constitutes acceptance of the revised Terms.
